Art. 63. O aperfeiçoamento introduzido em patente licenciada pertence a quem o fizer, sendo assegurado à outra parte contratante o direito de preferência para seu licenciamento.
1. Vedação ao Grant Back. Este dispositivo estabelece que o aperfeiçoamento introduzido em uma patente pertence a quem o desenvolveu, ressalvado o direito de preferência no licenciamento ao contratante dos aperfeiçoamentos. Dessa forma, coíbe-se a presunção de que tais aperfeiçoamentos pertençam automaticamente ao licenciador. Importante mencionar que o TRIPS possui disposição semelhante (no capítulo referente ao controle de práticas anti-competitivas em contratos de licença) mencionando que os países membros podem adotar restrições às exclusive grantback conditions, ou seja, cláusulas que obrigam ao licenciado transferir exclusivamente ao titular da patente as melhorias efetuadas na tecnologia licenciada[1].

Nothing in this Agreement shall prevent Members from specifying in their legislation licensing practices or conditions that may in particular cases constitute an abuse of intellectual property rights having an adverse effect on competition in the relevant market. As provided above, a Member may adopt, consistently with the other provisions of this Agreement, appropriate measures to prevent or control such practices, which may include for example exclusive grantback conditions, conditions preventing challenges to validity and coercive package licensing, in the light of the relevant laws and regulations of that Member.
